北京2020年7月14日 /美通社/ -- Analog Devices, Inc. (Nasdaq:ADI)和Maxim Integrated Products, Inc. (Nasdaq:MXIM)7月13日宣布双方已达成最终协议,ADI公司以全股交易方式收购Maxim,合并后公司总市值超过680亿美元[2]。两家公司董事会已一致批准本次交易。通过拓展在多个极具吸引力的终端市场的业务广度和规模,本次交易将加强ADI的模拟半导体领导地位。
根据协议条款,交易结束后,持有Maxim普通股的股东,每股可兑换0.630股ADI公司普通股。交易结束后,ADI的当前股东将持有合并后公司大约69%的股份,而Maxim股东将持有大约31%的股份。本次交易旨在获得美国联邦所得税法免税重组资格。
